These Terms of Service ("Terms") govern your access to and use of the Osmoti platform ("Service"), an AI-powered advertising optimization tool that connects to your Meta and Google ad accounts to automate campaign management, targeting, and performance reporting. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

  1. Use of the Service

You may use the Service only in compliance with these Terms and all applicable federal, state, and local laws. The Service is intended for business and professional use by companies and individuals managing paid advertising campaigns.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at team@osmoti.com if you suspect unauthorized access to your account.

  1. Accounts and Access

To access the Service, you must create an account and provide accurate, complete, and current information. You agree to keep your account information up to date at all times.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in misuse, or provide false or misleading information during registration.

  1. Ad Platform Connections

The Service integrates with third-party advertising platforms, including Meta (Facebook/Instagram Ads) and Google Ads, via their official APIs. By connecting your accounts, you authorize Osmoti to access campaign data and, where applicable, execute automated adjustments including bid changes, budget reallocations, and targeting updates on your behalf.

You remain solely responsible for your ad accounts and all activity within them. Osmoti acts as an authorized operator on your behalf — not as an advertising agency or fiduciary. You should regularly review changes made by the platform and may disconnect your accounts at any time.

Your use of Meta and Google platforms remains subject to their respective terms of service, which are separate from and independent of these Terms.

  1. Content and Data

You retain full ownership of any content, data, or information you upload or connect to the Service, including your ad account data, campaign assets, and business information.

By using the Service, you grant Osmoti a limited, non-exclusive, royalty-free license to access, process, and use your data solely for the purpose of providing and improving the Service. We do not claim ownership over your data and will not use it for any purpose beyond what is described in these Terms and our Privacy Policy.

  1. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.

  • Upload or transmit content that is unlawful, harmful, defamatory, or fraudulent.

  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

  • Attempt to gain unauthorized access to any part of the Service or its related systems.

  • Use the Service to engage in deceptive advertising practices or violate Meta's or Google's advertising policies.

  • Reverse engineer, decompile, or attempt to extract the source code of the Service.

We reserve the right to investigate and take appropriate action, including account termination, for any violations of this section.

  1. AI-Generated Outputs and Automation

The Service uses artificial intelligence to analyze campaign performance, generate recommendations, automate bid adjustments, and produce reporting summaries. These outputs and automated actions are provided to assist your decision-making — they do not constitute professional, financial, or legal advice.

Osmoti's optimization agents act based on available data and algorithmic logic. While we strive for accuracy, we do not guarantee that automated decisions will achieve any specific advertising outcome, ROAS, or revenue target. You are responsible for monitoring your campaigns and reviewing automated changes through the platform's action center and change log.

You retain final authority over your ad accounts and may override or roll back any changes made by the Service at any time.

  1. Availability and Changes

We strive to maintain reliable, uninterrupted access to the Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances beyond our control.

We reserve the right to modify, update, or discontinue any features or aspects of the Service at any time. Where changes are material, we will endeavor to provide reasonable advance notice.

  1. Fees and Payment

Osmoti's pricing is based on your ad spend and is communicated during the onboarding process. By applying for and being granted access to the Service, you agree to the applicable fees as outlined at the time of enrollment.

All fees are non-refundable except where required by law. We reserve the right to update our pricing with reasonable notice to existing customers.

  1. Termination

You may stop using the Service and close your account at any time by contacting us at team@osmoti.com.

We may suspend or terminate your access to the Service immediately, with or without notice, if you breach these Terms, engage in conduct harmful to Osmoti or other users, or if your connected ad accounts are suspended by Meta or Google.

Upon termination, your right to access the Service ceases immediately. Any data associated with your account may be deleted in accordance with our Privacy Policy and data retention schedule.

  1. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, OSMOTI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service or its servers are free of viruses or harmful components. We make no guarantees regarding advertising performance, campaign results, or return on ad spend.

  1. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OSMOTI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST AD SPEND, DATA LOSS, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OSMOTI IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not fully apply to you.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Osmoti and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your ad account activity or advertising content; or (d) your violation of any third-party rights.

  1. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction where necessary to protect intellectual property or confidential information.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Osmoti.

  1. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms at www.osmoti.com and update the date at the top. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
